Security and online privacy

This statement discloses the privacy practice for the website (the “Portal”) of Berry Dunn McNeil & Parker, LLC (“we”, “our” or “BerryDunn”) which is used by BerryDunn clients (each such client may be referred to elsewhere in this statement as “you”, “your”, “yours” or “Client”) to permit electronic transfer of data, documents, and communications between the Client and BerryDunn (data, documents, and communications which may be accessed using the particular Client Account (the “Client Account”) of that particular Client on the Portal, may be referred to elsewhere in this Agreement as the “Information”), as well as ongoing Client access to Information (which may include confidential items) which is otherwise accessible through the Client Account of that particular Client on the Portal. A Client’s use of the Client Account is subject to the terms of a Client Portal Agreement (the “Portal Agreement”) which can be accessed on the Portal website.

It is our intent to give you as much control as possible over your privacy in regard to your use of the Client Account and the Information contained there.

What information we gather and track

When you access the Portal or the Client Account, when you apply for the Client Account, when you designate individuals to use the Client Account, or when you upload or download Information to or from the Client Account, you are potentially providing us with or accessing two types of information: personal information you knowingly choose to disclose that is collected by BerryDunn ("User Data," as defined below) and website use information collected by BerryDunn as you interact with the Portal ("Site Content," as defined below). Collectively, User Data and Site Content are referred to as "Personal Information."

User Data

You are solely responsible for the Information, confidential or otherwise, that you, as well as any person or entity accessing the Client Account using an email address, and password provided to or by you, upload to or through the Client Account or the Portal, or which you otherwise provide to BerryDunn (collectively, the "User Data"). You are solely responsible at your sole cost and expense for creating personal backup copies of all User Data posted or stored in the Client Account or provide to BerryDunn. When you post User Data to the Client Account, you authorize and direct BerryDunn to make such copies of that User Data as BerryDunn, in its sole discretion, deems necessary or useful in order to facilitate the use and storage of the User Data in the Client Account, the provision of services to you by BerryDunn, running the Portal, or complying with applicable law.

BerryDunn has data management plans in place to run the Portal and the Client Account, as well as other parts of its business. As such, BerryDunn shall retain User Data according to BerryDunn’s data retention policies. BerryDunn reserves the right to delete User Data on the Client Account or the Portal at any time and for any reason.

By way of example only, the Information, including User Data, which we may gather, retain, track, and use may include all Information which is ever posted to or otherwise put into the Client Account, including items which may otherwise include confidential data and information, as well as any personally identifiable information which may be included in that Information. We may still be able to access Information even after it is deleted from the Client Account.

BERRYDUNN CANNOT GUARANTEE NOR SHALL BERRYDUNN ASSUME ANY RESPONSIBILITY OR LIABILITY TO ASSURE THAT ANY INFORMATION WAS ACTUALLY CREATED AND IS BEING OPERATED BY, OR IS BEING ACCESSED BY, THE INDIVIDUAL OR ENTITY OR USER THAT CLAIMS TO HAVE SUBMITTED SUCH USER DATA OR IS ACCESSING THE CLIENT ACCOUNT ON THE SITE. BERRYDUNN IS NOT RESPONSIBLE FOR THE CONTENT OF ANY USER DATA. YOU HAVE THE SOLE RESPONSIBILITY TO SAFEGUARD (AND ARRANGE FOR THE CHANGE OF, AS NEEDED), ANY EMAIL ADDRESS AND PASSWORD USED TO ACCESS THE CLIENT ACCOUNT OR TAKE ANY OTHER ACTION TO ENSURE SUCH IDENTIFIERS ARE ONLY BEING USED BY INDIVIDUALS WITH THE AUTHORITY TO DO SO.

Site Content

When you enter the Portal, we may collect browser information (type, version, etc.), the IP address, and the operating system/platform, being used to access the Portal. This information is gathered for all Portal visitors. In addition, we may store certain information using "cookies" (collectively with the browser information and IP address, the "Site Content."). A cookie is a piece of data stored on a computer used to access the Portal tied to information about that computer and the use of the Client Account by anyone (a “User”) using a particular email address and password to access that Client Account. We use cookies to associate a User with their previous activity on the Portal and the Client Account. The Portal and the Client Account will "remember" the information for that User making it easier for that User to contribute when that User comes back to the Portal. Cookies may be cleared from a browser on a particular computer (using the settings in that browser) if a User wants to disable this convenience feature on that particular computer.

Whether through use of cookies or otherwise, we may gather the email address and password used by any particular person to access the Client Account, as well as details concerning that person’s use of the Client Account, including Information added to, taken from, or accessed by that person when using the Client Account.

What we do with the information we gather and track

We use the User Data, Site Content and other Information we gather to: (a) provide you with services; (b) run the Portal; and (c) comply with our data management policies. We may use and release User Data, Site Content and other Information when we believe that this is required: (a) by applicable law; (b) by a court order or the order of a governmental agency or body which has the power to issue such orders (including, but not limited to, subpoenas); (c) to protect our rights, property, safety, or security, or that of others; or (d) to prevent the commission of a crime or other illegal act. We may also use and disclose User Data, Site Content and other Information as authorized by you.

In providing services to you, we may employ other companies and individuals to perform functions on our behalf. Examples may include sending mail (both email and postal mail), analyzing data, providing customer service, collection of accounts, and obtaining advice (such as legal advice) with respect to these services. We may share any information that we have about you with these parties as necessary to permit them to perform the functions for which we retain them.

We will not sell your non-public personally identifiable information to an unrelated third party. We may, however, share such information with our partners and advertisers, or transfer such information to a purchaser of our business assets. We may also use Site content to identify broad demographic trends, which may be used to provide information tailored to your interests.

The Portal or the Client Account, or Information on the Client Account, may contain links to other websites; however, BerryDunn is not responsible for the privacy practices or the content of those websites.

Your Consent

By using the Portal or the Client Account, you consent to the collection and use of your User Data, Site Content and other Information by BerryDunn. This Statement reflects our current policies and practices and is subject to change at any time. In the event of a change, a revised Statement will be posted to the Portal site in a timely manner. You should review this Statement periodically to remain informed of any changes. BerryDunn shall have no responsibility to contact you regarding any such revisions.
